Terms & Conditions

Fidus360 (“Fidus360”, “we”, “us”, or “our”) is a multi-tenant Software-as-a-Service (SaaS) business operating platform provided by Fidus Integrated Technologies. These Terms & Conditions (“Terms”) form a legally binding agreement between you (and the company or organisation you represent) and Fidus Integrated Technologies.

By creating an account, purchasing an app or bundle, or otherwise accessing or using Fidus360, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Refund & Cancellation Policy, and Acceptable Use Policy. If you do not agree, you must not use the platform.

Fidus360 is a cloud platform where companies can subscribe to individual business applications — such as Documents, Accounting, Attendance, LeadTrack, DPR, Tender AI, Inventory, and Reports & Analytics — or bundles of apps. The Fidus360 Core provides the shared workspace, user and role management, permissions, billing, the app launcher, and settings. Fidus360 delivers digital software services only; no physical goods are sold or shipped.

To use Fidus360 you must register an account with accurate, current, and complete information, and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.

Each customer operates within an isolated company workspace. The account owner or workspace administrator is responsible for the users they invite, the roles and permissions they assign, and the data those users create or upload. You agree to ensure that your users comply with these Terms.

You may subscribe to one or more apps individually or as part of a bundle. A subscription grants your workspace a limited, non-exclusive, non-transferable right to access and use the selected app(s) for the duration of the paid term.

Prices are displayed in Indian Rupees (INR) and may be charged per user, per employee, per device, or per company depending on the app. Fees, billing cycles (monthly or annual), and what is included are shown at checkout before you confirm. You agree to pay all applicable fees for the plan you select. Payments are processed by our payment gateway or banking partner; refunds are governed by our Refund & Cancellation Policy.

Fees are exclusive of applicable taxes unless stated otherwise. Goods & Services Tax (GST) and any other statutory levies will be added where applicable and reflected on your invoice. We issue invoices for successful payments in accordance with applicable Indian tax law.

Where offered, trials give time-limited access and may be cancelled before conversion. Paid subscriptions renew for successive terms unless cancelled before the renewal date. We may suspend or restrict access for non-payment, suspected abuse, security concerns, or legal reasons, with notice where practicable.

Fidus360 uses role-based access control. Administrators can assign roles and permissions that determine what each user can view and do. You are responsible for configuring roles appropriately and for promptly removing access for users who no longer require it.

Your use of Fidus360 must comply with our Acceptable Use Policy. You agree not to use the platform for any unlawful, harmful, or abusive purpose.

You retain all rights to the business data you and your users submit to Fidus360 — including documents, leads, attendance records, accounting entries, tender files, inventory records, and similar content. We process this data only to provide and support the services, as described in our Privacy Policy.

We aim to keep Fidus360 available and reliable, but the service is provided on an “as available” basis. Access may be interrupted for maintenance, updates, or factors beyond our reasonable control. We do not warrant uninterrupted or error-free operation unless agreed under a separate service-level agreement.

Fidus360 may integrate with third-party services (for example payment processors, hosting, email, or messaging providers). Your use of those services may be subject to their own terms. We are not responsible for the availability, content, or practices of third-party services.

Certain apps may offer optional local agents or connectors that run in your environment to sync data with Fidus360. Where these are used, you are responsible for installing, securing, and maintaining them in your own systems in line with our documentation.

All rights, title, and interest in Fidus360, including its software, design, trademarks, and content (excluding your customer data), remain the exclusive property of Fidus Integrated Technologies and its licensors. No rights are granted except the limited access rights expressly set out in these Terms.

You must not, and must not permit others to:

• copy, modify, reverse engineer, decompile, or attempt to extract the source code of the platform;
• resell, sublicense, or transfer access without our consent;
• scrape, attack, overload, or attempt to gain unauthorised access to the platform or other tenants’ data;
• use the platform for any illegal or infringing purpose.

You may cancel your subscription at any time as described in our Refund & Cancellation Policy. We may suspend or terminate access for material breach of these Terms, non-payment, abuse, or where required by law. On termination, your right to access the relevant app(s) ends; data handling after termination is governed by our Data Retention Policy.

To the maximum extent permitted by law, Fidus Integrated Technologies shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, revenue, or data. Our total aggregate liability arising out of or relating to the services shall not exceed the fees paid by you to us for the affected service in the three (3) months preceding the claim.

You agree to indemnify and hold harmless Fidus Integrated Technologies and its officers, employees, and partners from any claims, damages, or expenses arising from your use of the platform, your data, or your breach of these Terms.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India.
